Senior Legal Counsel

 

The Senior Legal Counsel is a true corporate generalist supporting the US and Canadian Markets, but who is also part of a large global Legal Affairs team. They will work closely with internal clients and support the company's various business units by drafting, reviewing, and negotiating sales contracts, service agreements, bids, leases, and purchase agreements, as well as other commercial contracts and related agreements. This attorney will also advise as to internal policies, assist with transactions, review, and resolve claims, support procurement activities, support on labor matters (union and non-union), provide training to company personnel on legal and compliance matters, assist with management of outside counsel, and assist the corporate secretary. This attorney will work closely with business groups, project managers, engineers, risk managers, external clients, and outside attorneys. In addition to excellent oral and written communication skills, the successful applicant will be a team player who works well with clients and management with an entrepreneurial spirit to provide legal support company-wide.
This position will report to Senior Legal Counsel.
This position is based in Denton, TX.
You might be travelling domestically and internationally up to 15%
Tetra Pak is not considering applicants (Internal or External) who require International relocation to the United States.

What you will do

 

As the Senior Legal Counsel, you will:
 

  • Negotiate and draft complex engineering, and construction agreements for a variety of complex projects in the food processing industry.
  • Negotiate and draft complex equipment lease or sale agreements for food processing and packaging projects.
  • Draft, negotiate and provide legal advice with respect to product supply agreements as purchaser and seller, procurement agreements equipment lease agreements, marketing agreements, confidentiality agreements, equipment leases.
  • Advise on the structure of financial transactions related to operations, including finance agreements, lease structures, and security interests.    
  • Identify and analyze legal issues and risks, review and draft legal agreements, present clear recommendations, and assure legal compliance across the full spectrum of legal issues facing the company.
  • Support labor and employment related activities, including support for two unionized manufacturing facilities.
  • Perform other job-related duties as assigned.

 

Who you are

 

We believe you have:
 

  • Six or more years of legal experience with drafting and negotiating commercial contracts is required preferably gained in both law firm and in-house environment
  • Juris Doctorate Degree or L.L.M from an accredited U.S. law school is required
  • Licensed to practice law and admission to (and current good standing with) the bar of at least one state is required, and ability to gain entrance to the bar of Texas within 1 years is strongly preferred
  • Proven ability to communicate effectively and persuasively to senior management
  • Excellent interpersonal, verbal, and written communication skills
  • Result-oriented work ethic to always deliver on-time, on-scope and on-budget
  • Experience in manufacturing, contracting, or construction is preferred
  • Commercial litigation experience is preferred
  • Anti-trust and bankruptcy knowledge is a plus
